Vendor Agreement Terms & Conditions

Application for space should be made directly to the Colorado Sport Aviation, Inc. (CSA). CSA reserves the right to make rearrangements of floor plans, layouts etc. The most current layout and vendor assignments will be available on the CSA web site, www.COSportAviation.org.
 
The following terms and conditions will govern the use of space covered hereunder and the Vendor expressly agrees to be bound by and comply with such.
Vendors shall not assign or sublicense this Agreement or sublet any space provided herein. In no event shall Vendor, grant to any person or company, permission to share its exhibit area or to occupy adjacent areas.
 
Colorado State Sales Tax - Payment of Colorado State Sales Tax on Vendor's transactions is the exclusive responsibility of the Vendor. Vendors shall obtain forms from:

Generators will not be allowed in all vendor areas. Electricity is provided in designated vendor areas. Tarmac vendors may use Honda WhisperQuiet generators after receiving authorization from CSA.
 
Each vendor is allocated a fixed number of day passes included in the price of the exhibit. The passes are intended for use by employees who may be needed to staff the exhibit. CSA is not responsible for lost or misplaced day passes. Additional passes are available for a fee of $10.00 per pass.
 
Neither party shall lose any rights hereunder or be liable to the other party for damages or losses on account of failure of performance by the defaulting party if the failure is occasioned by government or military action, war, terrorism, fire, earthquake, explosion, flood, strike, lockout, embargo, act of God, or any other similar or dissimilar cause beyond the reasonable control of the defaulting party (each, a "Force Majeure Event"), provided that the party claiming the Force Majeure Event has exerted all reasonable efforts to avoid or remedy such Force Majeure Event.
 
The Vendor shall forever indemnify, save harmless, and defend the CSA, its officers, directors, judgments, liabilities, losses, damages, and expenses resulting from or incident to, any and all loss, damage, death, or injury to persons or property arising out of, or in connection with, the exhibit or occupancy of the space allotted under this agreement.
 
Vendor shall be solely responsible for any loss or damage, disappearance or other casualty to any of its (or its employees', agents', or volunteers') personal property, including vehicles, equipment and supplies (collectively "Vendor's Personal Property"), caused by any reason (accident, negligence of any person or entity (including CSA), theft, natural disaster, or otherwise), and shall indemnify and hold CSA harmless from the same. Vendor shall be solely responsible to protect the Vendor's Personal Property.
 
Vendor shall use its best efforts to obtain and maintain adequate insurance coverage prior to the event to insure their property or goods while in transit and at the event site. Vendor shall use its best efforts to obtain and maintain public liability insurance coverage to protect against injuries to person or property as a consequence of the acts or omissions of Vendor and its employees, agents and volunteers.
 
Any Vendor employing aircraft operations on event property will be required to produce a certificate of liability naming Colorado Sport Aviation, Inc. as an additional insured. This certificate must be received prior to being admitted to event property. No refunds will be given if admission on to event grounds is denied due to improper insurance coverage.
 
Nothing contained herein shall be deemed or construed by the parties hereto or by any third party as creating the relationship of principle and agent, partnership or of joint venture between CSA and Vendor. It is further understood and agreed that the relationship of Vendor to CSA as a consequence of this agreement is that of an independent contractor and Vendor shall maintain in effect throughout the term of this agreement a policy of Workman's Compensation Insurance covering all of its employees who are at the event.
 
Except as otherwise specified herein, Vendor agrees that, as an independent contractor, it will secure, furnish and maintain all necessary equipment with proper licenses, authorities and permits. Vendor covenants and agrees that it will fully perform this Agreement and comply with all applicable local, state, and federal rules, regulations and statutes.
 
This agreement contains the entire understanding and the full and complete agreement of the parties and supersedes and replaces any prior understandings and agreements among the parties with respect to the subject matter hereof.
